Wemily Studio Service Agreement
Version 2026-11-01
This agreement covers the website we build for you and the services that go with it. Please read it before you pay your deposit. If anything is unclear, email partnerships@wemilystudio.com before you pay.
How this agreement works
Who it’s between
Wemily LLC, a North Carolina limited liability company doing business as Wemily Studio (“Wemily”, “we”, “us”). PO Box 1321, Roxboro, NC 27573. partnerships@wemilystudio.com. Wemily is run by Wolf Zachar (“Wolf”).
The business named in your quote and on your go-ahead form (“you”). The person who accepts this agreement confirms they’re allowed to accept it for that business.
How you accept it
If you pay at our Stripe checkout: after you approve your quote on our “Yes, I’d like to go ahead” form, a secure Stripe checkout opens for your 50% deposit. Before you can pay, Stripe asks you to tick the box “I agree to Wemily Studio’s Terms of Service and Privacy Policy”. For a paid project, the Terms of Service that box refers to is this agreement. Ticking that box and paying the deposit means you accept this agreement, in the version dated at the top of this page on the day you pay.
If you pay by bank transfer, or we send you an invoice instead of a checkout: we email you this agreement with your deposit invoice. You accept it by replying to that email to say you accept, or by signing and returning it, before you pay the deposit.
Until you’ve accepted this agreement and paid the deposit, nothing is owed, and no work beyond the free homepage concept starts.
What’s part of it
Your agreement is made of:
this page, in the version you accepted;
your quote: the tier, price, pages, features and rounds of changes it lists, and anything it says isn’t part of the build. It’s the quote we emailed you with your homepage concept;
the add-ons you ticked on the go-ahead form, at the prices in your quote. Ticking “Not sure yet” isn’t an order. A monthly plan you ticked starts only when you sign up for it (section 6);
any change we both agree to in writing later. Email is fine.
If your quote and this page differ, your quote wins for price and scope, and this page wins for everything else.
1. What we build
1.1 We design and build the website your quote describes: the pages and features it lists. The price is firm for that scope.
1.2 Adding pages doesn’t change the price, and there is no per-page fee. Changes before launch come in the rounds your tier includes (3.1). Changes within those rounds don’t change the price.
1.3 These aren’t part of this agreement: an online store, memberships, and AI tools such as chatbots. Logo or brand design and photography aren’t included either. Setting up a booking system, or connecting your site to booking or property-management software, isn’t part of any website price. We offer those as separate services on request, at their own price, paid in full before that work starts.
1.4 Booking and other tools. We can link to the booking page you already use. We can also add the ready-made embed code from a tool you already use and have set up. Under this agreement we don’t choose, set up, configure or connect booking systems (see 1.3). The same applies to email sign-up, CRM and social-feed tools. If you have no booking tool, your site gets a clear contact or call button.
1.5 Every site includes launch-ready basics: page titles and descriptions, a mobile layout, a working contact form, a privacy page, a custom 404 page and a basic launch check.
1.6 Answers you give in a questionnaire, and questions or ideas you type on the go-ahead form, are wishes, not agreed scope, unless your quote lists them or we confirm them in writing.
1.7 The free homepage concept you saw becomes the starting point of the build.
2. Timeline
2.1 The build period is 14 days to a finished site. It starts when we receive your 50% deposit.
A payment at our Stripe checkout counts as received when Stripe shows it as succeeded. A payment from a US bank account through Stripe can take up to 4 business days to clear.
A bank transfer counts as received on the day it lands in our business bank account.
After the deposit, we email you the full website questionnaire within one business day.
2.2 To finish in 14 days, we need your full questionnaire answers and your content (text, photos, logo) early. If they arrive more than 3 days after we send you the questionnaire, the finish date moves back one day for each day after that.
2.3 “Finished” means the site is built and ready for your review. You can keep asking for changes after day 14, until launch, within the rounds your tier includes (3.1).
2.4 Wolf works on client requests about once a day, sometimes less often. This is a working pace, not a promised response time.
3. Changes before launch
3.1 Before launch, your website includes rounds of changes by tier: Starter 2 rounds, Plus 4 rounds, Pro and Custom unlimited. A round is one list of changes you send together. We make them all, then send the site back. Fixing our own mistakes never counts as a round. An extra round costs $149 on any tier, or you can upgrade a tier.
3.1a When a change is a design choice, for example a new look, a holiday theme or a promotion, we may first ask you a few questions and show you up to three options. Choosing an option doesn’t use a round. If none of them fit, tell us why and we’ll make one more set at no charge. We build the option you choose. One list of small adjustments to it, sent within 7 days of seeing it, is part of the same round.
3.2 Requests for the items in 1.3 aren’t covered. We’ll tell you if a request is one of them.
3.3 After launch, changes go through the Monthly plan (6.5). If you own your site, we can still help, as 5.2 describes.
4. Price and payment
4.1 Your website price is in your quote. Websites cost $999 to $6,999, depending on complexity: Starter $999, Plus $1,999, Pro $3,499, and Custom $4,999 to $6,999. All prices are in US dollars.
4.2 You pay 50% as a deposit before any work beyond the free concept: $499.50 for Starter, $999.50 for Plus, $1,749.50 for Pro, or half of a Custom quote. You pay the other 50% before launch. Before the deposit, nothing is owed.
4.3 We publish the site only after the final payment arrives. We also need your approval to launch (section 9).
4.4 How you pay
Deposit: at the secure Stripe checkout that opens after the go-ahead form. Prefer to pay by bank transfer? Tell us before you pay, and we’ll email you an invoice. A Custom quote gets its own invoice.
Final payment and other invoices: we email you an invoice. You can pay it by bank transfer, or by card if the invoice includes a card payment link.
We never ask for card details by email or phone.
4.5 Add-ons and extra rounds aren’t in the deposit. The deposit covers the website only.
Google Business Profile setup ($299), or the $200 extra for the “Website + Google Profile” bundle, goes on your final invoice, before launch.
Each extra round of changes ($149) goes on your final invoice too.
Local SEO and the hosted plans are billed monthly (section 6).
An add-on ordered after launch is paid in full before work on it starts.
4.6 We don’t add sales tax unless the law requires it.
4.7 The final invoice. We send it when you confirm the site is finished and ready to launch. It’s due when you receive it. Launch waits until it’s paid. We send reminders at about 3, 7 and 14 days.
4.8 Late payment. If an invoice isn’t paid within 7 days of its due date, we add a late fee of 5% of the unpaid amount. The late fee is charged once, not every month. If it’s still unpaid 30 days after its due date, all work and services under this agreement stop, including any rounds of changes you have left. Work starts again once everything owed is paid. The late fee never applies to an unpaid deposit, because nothing is owed before the deposit (4.2).
4.9 If anything about a charge looks wrong, contact us first at partnerships@wemilystudio.com and we’ll sort it out.
5. Hosting, domain and accounts
5.1 We build your site in a Framer project in our own Framer account. Before launch, you choose how it’s hosted:
On one of our hosted plans (6.4 and 6.5). The project stays in our Framer account, we pay Framer for it, and you pay us monthly.
In your own Framer account. You own the Framer project and pay Framer directly (5.2).
Either way, once you’ve paid in full, the content and design we made for your site are yours (8.2).
5.2 If you own it. We launch your site on our Framer plan and keep it there for the 30 days of free fixes after launch (12.2). Once those 30 days are over and everything you owe is paid, we transfer the Framer project to your Framer account. If you’d like it sooner, tell us. A free fix after the transfer then needs you to add Wolf as an editor, and Framer charges your account for that seat. Framer emails you a link to accept the transfer. If you don’t have a Framer account yet, you create one when you accept. Your site and domain stay online during the transfer. When you accept, Framer asks you to choose your own site plan, and you pay Framer for it directly. We don’t stay on as an editor. If you’d like our help later, you can add Wolf as an editor for that job (Framer charges your account for the editor seat), at a price we agree with you before we start. Or you can move to a hosted plan by transferring the project back to us.
5.3 Framer’s plan limits apply. On a hosted plan, if your site needs a bigger Framer plan than the one we use, we tell you first, and the difference is added to your monthly price. If you own the site, a bigger plan is between you and Framer.
5.4 Your domain is always in your name.
If you already have one, you keep it and keep paying your registrar. We’ll guide you through adding the records Framer needs, or you can give us access with your registrar’s own access-sharing feature.
If you don’t have one and you’re on a hosted plan, we register it for you, with you as its registered owner. Its yearly renewal is included in your plan. Once everything you owe is paid, we transfer it to you at no charge whenever you ask.
If you own the site and need a domain, you register it yourself, and we’ll guide you.
5.5 We never ask for or store your passwords.
6. Add-ons and monthly plans
6.1 Google Business Profile setup, $299 one-time. We create or claim your profile and guide you through verification. We add your business details, categories, services and hours, your photos, a link to your website and a first post. Not included: ongoing profile management and review campaigns. Google controls verification, so we can’t guarantee it. Because verification is Google’s decision, the $299 isn’t refunded once the setup work is done, even if Google doesn’t verify the profile.
6.2 Local SEO subscription, $499/month, 3-month minimum. It can start at launch or any time after, and it’s billed automatically every month. Month 1 is setup: Google Search Console, indexing checks, structured data, speed work and share cards. Every month: 4 Google Business Profile posts, 1 new local page or article, listing cleanup on directories, Search Console fixes and a one-page report. We never promise search rankings. To cancel, email partnerships@wemilystudio.com. After the 3-month minimum, you can cancel any time. If you cancel during the first 3 months, you still owe the rest of the 3 months. If a monthly payment fails, Stripe may try it again automatically, and we email you. Work pauses while a payment is overdue. If it’s still unpaid 2 weeks after its due date, the subscription ends. There are no refunds for part of a month.
6.3 “Website + Google Profile” bundle: your website quote + $200. It’s paid as 4.5 says.
6.4 Hosting & support, $39/month.
We host your site on our Framer plan and keep it published, with its domain connected.
A domain we registered for you is included, with its yearly renewal (5.4).
If something on your site stops working, we fix it. For example: a broken link, a form that stops sending, or a display problem after a Framer update. “Stops working” means it used to work. Anything new or different is a change.
You can ask us questions about your site by email to partnerships@wemilystudio.com. Wolf answers at the working pace in 2.4.
Changes aren’t included. For changes, move to the Monthly plan (6.5). Fixing our own work is always free (12.2).
If you’d like to edit text on your site yourself, we can add you to the project as a content editor. Framer charges for that seat, and we add Framer’s price to your monthly bill.
6.5 Monthly plan, $99/month (the “care plan” on the go-ahead form). It includes everything in Hosting & support (6.4), plus:
up to 5 changes a month. A change can be a new page or a new feature.
One request with one result is one change. A batch of small text edits on one page, sent together, is one change.
Whole new features cost extra. A whole new feature is anything in 1.3 or any service we don’t offer yet: for example a store, memberships, booking integration or AI tools. Everything else counts as one of the 5 changes, for example a new page, a new section, a blog, or the embed of a tool you already use.
A new page includes short copy we write from your notes. Photos and facts come from you.
You send change requests by email to partnerships@wemilystudio.com, with “Change request” in the subject. We keep one log of them. We don’t take change requests by text or direct message.
Unused changes don’t roll over to the next month.
Fixing our own work is free at any time and never uses one of your 5 changes (12.2).
6.6 Terms for both hosted plans.
A hosted plan starts at launch. It’s billed automatically every month to the card or bank account you sign up with.
No minimum term. You can cancel a hosted plan at any time by emailing partnerships@wemilystudio.com. The plan stays active until the end of the month you’ve already paid for. There are no refunds for part of a month.
You can switch between Hosting & support and the Monthly plan by email. The switch starts from your next billing month. For a one-off change, for example, you can switch to the Monthly plan for a month and then switch back.
If a monthly payment fails, Stripe may try it again automatically, and we email you. Changes and help pause while a payment is overdue, and the late-payment rules in 4.8 apply. If a payment is still unpaid 30 days after its due date, we may take your site offline until everything you owe is paid.
6.7 When a hosted plan ends. Once everything you owe is paid, we transfer the Framer project to your own Framer account at no charge, as 5.2 describes, and any domain we registered for you to a registrar account of yours. From then on, you pay Framer directly. If you haven’t accepted the transfer 30 days after the plan ends, we take the site offline and delete the Framer project, including stored form submissions (B4). We email you before we do.
6.8 On the Monthly plan, too, choosing between options doesn’t use a change, and the built option with its small adjustments is one change. A change that runs for a set time, like a sale banner or a holiday theme, includes taking it down on the end date you give us.
7. What you provide
7.1 Accurate answers and content, in good time. You confirm you have the right to use everything you give us (text, photos, logos), and that it’s lawful to publish.
7.2 You’re responsible for the claims your business makes on the site, such as prices, licences, and health or legal statements. If you work in a regulated field, such as health care, tell us before the build starts.
7.3 One person approves changes and the launch for you: the person who filled in the go-ahead form, unless you tell us in writing that it’s someone else.
8. Ownership and portfolio
8.1 Until you buy, the homepage concept stays Wemily’s work.
8.2 Once you’ve paid in full, you own the content and design we made for your site. We keep our own templates, components, methods and know-how, and may reuse them. Third-party items, such as fonts, images and Framer components, stay under their own licences.
8.3 We show your site or your name in our portfolio or marketing only with your permission.
9. Launch
9.1 We publish when four things are true: you’ve approved the site for launch, the final 50% has arrived, you’ve signed up for a hosted plan or chosen to own the site (5.1), and your domain is ready.
9.2 Nothing is published without your approval.
10. Data processing
10.1 The data-processing schedule at the end of this page applies whenever we can access personal data that visitors send through your site, such as contact-form messages.
11. Ending the agreement
11.1 You can stop the project at any time before launch by email. If you stop before we’ve started work on your build, we refund the deposit in full. Once build work has started, the deposit isn’t refunded; it covers the work done. You owe nothing more: the final 50% isn’t due, and we don’t launch or hand over an unfinished site.
11.2 If we cancel, or can’t finish the work for reasons on our side, we refund your payments in full.
11.3 After launch, website and add-on payments aren’t refundable. Fixes to our own work are covered by 12.2.
11.4 Refunds go back the way you paid. Card refunds usually show in 5 to 10 business days. A payment from a US bank account through Stripe can only be refunded in full, and the refund takes up to 3 business days. A bank transfer is refunded by bank transfer, within 5 business days of the refund being agreed.
11.5 Until you’ve paid in full, the design and copy we made stay Wemily’s work, as the concept does (8.1). If the project stops, you may not publish or reuse them, and the Framer project stays in our account. We don’t transfer it.
12. Results and liability
12.1 We build your site to help you win more bookings. We don’t guarantee bookings, sales, search rankings or Google verification.
12.2 If you report an error in our own work within 30 days after launch, we fix it at no charge. On a hosted plan, fixing our own work is free at any time, and on the Monthly plan it never uses one of your 5 changes.
12.3 Limits:
Our total liability under this agreement is limited to the amount you’ve paid us under it.
Neither of us is liable for indirect or consequential losses.
We’re not responsible for outages or changes in services we don’t control, such as Framer, Google, your registrar or your booking tool.
13. General
Governing law: the laws of the State of North Carolina.
Courts: any dispute about this agreement will be handled in the state courts located in Person County, North Carolina, or in the United States District Court for the Middle District of North Carolina.
Whole agreement: this agreement and the parts listed under “What’s part of it” are the whole agreement. Changes must be in writing; email is fine.
Our website terms: if our website’s Terms of Service say something different about your project, this agreement wins.
Independent contractor: Wemily works as an independent contractor.
Notices: by email, to partnerships@wemilystudio.com and to the email address you gave on the go-ahead form.
Updates to this page: we may update this page. Each version has its own date. The version you accepted keeps applying to your project, unless we both agree in writing to use a newer one. Ask us and we’ll send you the version you accepted.
Data-processing schedule
B1. Roles. For personal data that visitors submit through your website (for example contact forms), you’re the controller: you decide why and how it’s processed. Wemily is a processor. We process that data only on your instructions, which are set out here and in your privacy notice, and never for our own purposes.
B2. Where the data is. Your website runs on a Framer site plan: ours on a hosted plan, or your own if you own the site (5.1). Form submissions are stored in the Framer project and forwarded to the inbox you choose.
B3. Access. Only Wolf has access to stored submissions. No one else gets access without your written instruction. We use AI tools (currently Anthropic’s Claude and OpenAI’s Codex) to build and edit sites through our Framer account, but we don’t use them to open your stored submissions. While the project is in our Framer account (during the build, and on a hosted plan), our access comes from that account. If you own the site, our access ends when you accept the transfer (5.2), unless you add Wolf as an editor.
B4. Retention and deletion.
While the project is in our Framer account, submissions there are deleted 24 months after we receive them.
If you own the site, you control retention in your own Framer account.
When this agreement ends, we delete any submissions we still hold within 30 days, unless you ask for a transfer first.
Copies delivered to your inbox are your responsibility.
B5. Sub-processors. Framer B.V. (hosting, form storage, cookieless analytics) and Google LLC (web fonts served to visitors). We tell you before a new sub-processor handles submission data.
B6. Security. Your website is served over HTTPS only. Platform accounts use a strong password and two-factor authentication. We don’t export submission data to other systems except at your written request.
B7. Help with visitor requests. When you instruct us about a visitor’s request to access, correct or delete their data, we act within 10 business days. We tell you without undue delay if we learn of a security incident affecting submission data.
B8. Privacy notice and your responsibilities.
Every site with a form gets a short privacy notice, written by us from your answers. Every site also includes a privacy page and a custom 404 page (1.5).
You check that the notice accurately describes this processing before launch, and you keep it accurate.
You decide which data protection laws apply.
You handle your own copies of submissions.
B9. Health information. Your website’s forms won’t be used to collect health information, and booking stays on your own tool, unless we both agree otherwise in writing after legal review.
What’s part of it
Your agreement is made of:
this page, in the version you accepted;
your quote: the tier, price, pages, features and rounds of changes it lists, and anything it says isn’t part of the build. It’s the quote we emailed you with your homepage concept;
the add-ons you ticked on the go-ahead form, at the prices in your quote. Ticking “Not sure yet” isn’t an order. A monthly plan you ticked starts only when you sign up for it (section 6);
any change we both agree to in writing later. Email is fine.
